Drafting an IC memo from diligence findings

An investment committee memo is a synthesis problem under a deadline: weeks of diligence findings, data-room extracts, expert calls, model outputs, and market data have to become a document the IC can interrogate. The drafting itself is mechanical once the findings exist, which is why it is one of the first workflows PE firms automate.

How the workflow runs on Model ML

  • Inputs connect once. The deal's data room and diligence notes sit alongside the firm's internal sources (email, cloud storage, call transcripts, CRM, past memos and templates) and integrated market data: S&P Capital IQ, FactSet, PitchBook, Third Bridge expert interviews, and Preqin (integrations).

  • Grid structures the synthesis. IC memos are one of Grid's core repeatable output shapes, alongside company profiles, tearsheets, and comps. The memo assembles against the firm's own template and past examples, in Word, not as chat text to reformat.

  • Every number carries its source. Datapoint-level citations appear as superscript footnotes; an IC member or reviewing partner clicks through to the original provider record or data-room document.

  • Verification runs before the partner reads it. AutoCheck reconciles figures and checks math, logic, formatting, and consistency across the memo and any accompanying deck.

Firms already running this

  • Intrepid Growth Partners deployed Model ML firmwide for investment committee memo creation, large-scale document analysis, data extraction, and rapid sector research.

  • West Lane Capital Partners rolled Model ML out across the investment lifecycle: sourcing, LOIs, IC memos, diligence, and execution, describing the workflows as giving the firm the equivalent resources of a much larger institution.

  • InterAlpen has used Model ML since 2024 across diligence and legal review, moving analysts and associates from drafting toward editing.

Details and dates for each are on Model ML Use Cases and Customer Evidence.

What changes for the deal team

The associate's job shifts from assembling the memo to editing it: checking judgment calls, sharpening the investment thesis, and pressure-testing risks, with the mechanical layer (structure, sourcing, tie-outs, formatting) already done. The elapsed time from final diligence finding to IC-ready draft compresses from days to hours, which matters most when exclusivity clocks are running.

Evaluating IC-memo automation

  • Ask for the memo in your template, from your example memos, not a generic output.

  • Ask to click a number in the draft and reach its source.

  • Ask what happens when the model updates mid-process: the regeneration and re-verification path is where tools separate.
